ITEM 3.03 MATERIAL MODIFICATION TO
RIGHTS OF SECURITY HOLDERS.
A total
of 150,000 common stock warrants, which were originally in the estates of Dr.
Edward R. Funk Sc.D. and Ingeborg V. Funk, founders of SCI Engineered Materials,
Inc. (formerly Superconductive Components, Inc.), were exercised on January 8,
2010, at a price of $2.50 per common share. The cash proceeds to SCI
Engineered Materials, Inc. were $375,000.
